1. Agreement to Terms

By accessing or using Pedfs ("Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Pedfs. We reserve the right to modify these Terms at any time, and your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

Pedfs is an AI-powered SaaS platform that provides PDF data extraction services. Our Service allows you to:

• Upload PDF files (invoices, receipts, and other documents)
• Extract structured data from PDFs using artificial intelligence
• Export extracted data in Excel (.xlsx), CSV, JSON, QuickBooks IIF, or Xero CSV formats
• Store extraction history for future reference
• Manage your account and subscription plans

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Data Processing by Manus AI

You acknowledge and agree that:

• Manus AI (manus.im) is the underlying infrastructure provider that processes, stores, and manages all data submitted through Pedfs.
• All uploaded PDF files, extracted data, account information, authentication credentials, and payment-related data are processed and stored on Manus AI's servers and infrastructure.
• Manus AI acts as the data processor for all information handled by the Service. Pedfs operates as a product built on top of Manus AI's platform.
• By using Pedfs, you consent to your data being processed by Manus AI in accordance with Manus AI's own terms of service and privacy policy, available at manus.im.
• Manus AI's security certifications, including SOC 2 Type II, ISO 27001, and ISO 27701, apply to the infrastructure on which Pedfs operates. You can verify these certifications at trust.manus.im.

4. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not create an account using false information or on behalf of someone else without permission. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription Plans and Billing

5.1 Subscription Plans

We offer the following subscription plans:

• Free Plan: 10 PDF extractions per month at no cost
• Pro Plan: $29.90/month for 200 PDF extractions per month
• Business Plan: $79.90/month for 1,000 PDF extractions per month

5.2 Billing and Payment

By subscribing to a paid plan, you agree to the following:

• Subscriptions are billed monthly in advance
• Payment is processed securely through Stripe
• You authorize us to charge your payment method on a recurring basis
• Prices are subject to change with 30 days' notice
• All fees are non-refundable except as required by law
• Failed payments may result in service suspension or termination

5.3 Credits and Usage

Each subscription plan includes a monthly allocation of extraction credits:

• One PDF extraction consumes one credit
• Credits reset on the first day of each billing cycle
• Unused credits do not roll over to the next month
• If you exceed your monthly limit, you must upgrade your plan or wait for the next billing cycle

5.4 Cancellation and Refunds

You may cancel your subscription at any time:

• Cancellations take effect at the end of the current billing period
• You will retain access to paid features until the end of the billing period
• No refunds are provided for partial months or unused credits
• You may reactivate your subscription at any time

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You may not:

• Upload files containing illegal, harmful, or offensive content
• Upload files that infringe on intellectual property rights of others
• Upload files containing malware, viruses, or malicious code
• Attempt to reverse engineer, decompile, or hack the Service
• Use automated tools to access the Service without permission
• Share your account credentials with others
• Resell or redistribute the Service without authorization
• Use the Service to extract data from documents you do not have rights to
• Overload or interfere with the proper functioning of the Service
• Violate any applicable laws or regulations

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

7. File Storage and Data Retention

Our data retention policies are as follows:

• PDF Files: All uploaded PDF files are automatically deleted from our servers after 24 hours
• Extracted Data: Extracted data is stored in your account indefinitely until you delete it or close your account
• Account Data: Account information is retained for as long as your account is active
• Backups: Deleted data may persist in backups for up to 90 days

All data storage and retention is managed by Manus AI infrastructure. You are responsible for maintaining your own backups of extracted data. We are not liable for any data loss.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Service, including all content, features, functionality, software, and design, is owned by Pedfs and is protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Remove or alter any copyright, trademark, or proprietary notices
• Use our trademarks, logos, or branding without permission

8.2 Your Content

You retain all rights to the PDF files and data you upload to the Service. By uploading content, you grant us and our infrastructure provider (Manus AI) a limited license to:

• Store and process your files to provide the Service
• Use AI technology to extract data from your files
• Create backups for data protection purposes

This license terminates when you delete your content or close your account, except for data retained in backups.

9. AI and Data Accuracy

Our Service uses artificial intelligence to extract data from PDF files. You acknowledge and agree that:

• AI extraction may not be 100% accurate
• You are responsible for verifying the accuracy of extracted data
• We do not guarantee that extraction will be error-free or complete
• Extraction quality depends on the quality and format of your PDF files
• We are not liable for any decisions made based on extracted data

Always review and verify extracted data before using it for business or financial purposes.

10. Disclaimers and Limitations of Liability

10.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors or defects will be corrected
• The Service will meet your specific requirements

10.2 Limitation of Liability

To the maximum extent permitted by law, neither Pedfs nor Manus AI shall be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Errors or inaccuracies in extracted data
• Unauthorized access to or alteration of your content
• Third-party conduct or content on the Service

Our total liability to you for all claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pedfs, Manus AI, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you upload to the Service

12. Third-Party Services

Our Service integrates with and relies upon third-party services, including:

• Manus AI: Core infrastructure, data processing, hosting, and AI services (manus.im)
• Stripe: Payment processing
• Amazon Web Services (AWS): Cloud storage

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of third-party service providers.

13. Termination

We may suspend or terminate your account at any time if:

• You violate these Terms or our Acceptable Use Policy
• Your payment method fails or you have unpaid fees
• We suspect fraudulent or illegal activity
• We discontinue the Service

Upon termination:

• Your access to the Service will be immediately revoked
• Your data may be deleted after a grace period
• You remain liable for any outstanding fees
• Provisions that should survive termination (e.g., indemnification, limitations of liability) will remain in effect

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Manus AI operates, without regard to conflict of law principles.

The dispute resolution process is as follows:

• Step 1 — Contact Manus AI: Submit your dispute or complaint to Manus AI at help.manus.im
• Step 2 — Informal Resolution: Manus AI will attempt to resolve the dispute informally within 30 days
• Step 3 — Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration administered in accordance with Manus AI's dispute resolution procedures
• Class Action Waiver: You agree to resolve disputes on an individual basis and waive the right to participate in class actions

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification (for significant changes)

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pedfs regarding the Service. Your use of the Service is also subject to Manus AI's terms of service and privacy policy.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
